Products sold by Minntech Electronics Inc. are not authorized for use as critical components in life support devices or systems. A critical component is any component of a life support device or system whose failure to perform can be reasonably expected to cause the failure of the life support device or system, or to affect its safety or effectiveness. Any attempt to purchase any Minntech Electronics Inc. product for that purpose is null and void and Minntech Electronics Inc. accepts no liability whatsoever in contract, tort or otherwise whether or not resulting from our or our employees' negligence or failure to detect an improper purchase.
All orders, regardless of how they are placed, submitted through the Minntech Electronics Inc. Web site or through its printed catalog, are specifically subject to all the terms and conditions contained herein. No change, alteration, deletion or modification of any of these terms and conditions is permitted. No person is authorized to accept, confirm or vary these terms and conditions including all representations and warranties unless they have been posted on this Web site. All terms are specifically and exclusively subject to interpretation under the US Uniform Commercial Code and all claims or disputes shall be interpreted according to Minnesota law and subject to jurisdiction in Minnesota state or federal courts at the exclusion of any other choice of law or choice of jurisdiction, including the UN convention on CISG.
Orders placed on forms deviating from these terms and conditions will not be accepted.
Minntech Electronics, Inc., may offer technical assistance or suggest alternative parts based on technical information available to Minntech Electronics Inc.. MINNTECH ELECTRONICS,INC. DOES NOT GUARANTEE that this assistance is correct or that suggested part alternatives are based on the most recent data or that our interpretation and accuracy of the data is correct. Customer is solely responsible for confirming the validity of the assistance and the specifications as well as determining the appropriateness and compatibility in selecting part(s) for their application.
FORCE MAJEURE. Seller shall not be liable for failure to fulfill its obligations herein or for delays in delivery due to causes beyond its reasonable control, including, but not limited to, acts of God, natural disasters, acts or omissions of other parties, acts or omissions of civil or military authority, Government priorities, changes in law, material shortages, fire, strikes, floods, epidemics, quarantine restrictions, riots, war, acts of terrorism, delays in transportation or inability to obtain labor or materials through its regular sources. Seller's time for performance of any such obligation shall be extended for the time period of such delay or Seller may, at its option, cancel any order or remaining part thereof without liability by giving notice of such cancellation to Buyer.
FEDERAL CONTRACTS: For products acquired pursuant to Federal Acquisition Regulations, the following shall be construed to be incorporated herein: (1) Equal Opportunity (E.O. 11246); (2) Affirmative Action for Special Disabled and Viet Nam era Veterans (38 U.S.C. 2012(a)); and (3) Affirmative Action for Handicapped Workers (29 U.S.C. 793). No other Federal Acquisition Regulations shall be construed to apply to Seller without Seller's written agreement thereto.
Blanket or Scheduled Order:
The buyer accepts that any TBA or scheduled orders must be completed within twelve months from the date of acceptance of the original order or they can be shipped and invoiced by the company in full at any time after completion of that twelve month period.
Date changes will be allowed up to 3 months maximum from the original date parts were scheduled unless they are NC/NR in which they may be scheduled out only once with a Maximum of 30 days from the original date. Original quantities may not be changed without consent of sales manager, and if quantity is decreased prices may be raised to that quantity pricing.
Product Liability
Minntech Electronics Inc., sole obligation for products that prove to be defective within 90 days of purchase will be for replacement or refund. Minntech Electronics Inc. gives no warranty, either expressed or implied, and specifically disclaims all other warranties, including warranties for merchantability and fitness. In no event shall Minntech Electronics Inc., liability exceed the buyer's purchase price, nor shall Minntech Electronics Inc. be liable for any indirect or consequential damages.
This warranty does not apply to products which have been subject to misuse (including static discharge), neglect, accident or modification, or which have been soldered or altered during assembly and not capable of being tested.
Infringement Disclaimer
Notwithstanding section 2-312 of any applicable version of the Uniform Commercial Code or any other similar law, or any purchase order term, other contractual provision or the like from the buyer ,Minntech Electronics, Inc.: (I) expressly disclaims any and all warranties against third party claims for infringement or the like, and (ii) shall have no obligation of any kind to the buyer for claims brought by third parties against the buyer for infringement or the like arising out of or in any way related to product purchased by the buyer from Minntech Electronics, Inc.

Minntech Electronics, Inc. makes every effort to present current and accurate pricing in its catalog. However, prices are subject to change without notice and quantities may be limited. All orders are subject to current pricing at time of acceptance by Minntech Electronics Inc. All prices and price quotes are in US Currency!!
Shipping Charges
Shipping or freight charges and insurance will be paid by the customer. All sales are made FOB point. Shipping or freight charges from Minntech Electronics Inc. warehouse in Hibbing, Minnesota are prepaid and added to the invoice, billed collect or billed to a 3rd party.
Handling Charge
A $5.00 handling charge applies to all orders less than $25.00.
A $2.00 handling fee will be applied to all other orders. A $6.00 handling charge to all International orders, excluding Canada.
Sales Tax
Only Minnesota residents need to remit 6.5% sales tax. Minntech Electronics Inc. does not remit sales tax to states other than Minnesota. Any sales tax due that is not collected by Minntech Electronics Inc. is the responsibility of the customer.

For United States customers we offer check, money order, MasterCard, VISA, American Express, and C.O.D. as well as open account credit to qualified institutions and businesses.
For Canadian customers we offer all of the above payment options except C.O.D.
For International customers Minntech Electronics Inc. offers only Credit Card options at this time.

To avoid delay on your initial order, you may elect an alternative payment method.
PAST DUE ACCOUNTS: All accounts past due will be assessed a finance charge of 1.5% per month. Liability limited to the invoice value of the materials or its replacement. All returns for credit must be made within 30 days of date invoiced. Any past due account may be subject to credit hold which may result in delay of scheduled shipments at no consequence to seller.
Dishonored Check Policy
If a check you give us for payment is dishonored for any reason by the bank or other institution on which it is drawn, you agree to pay us $20.00 as a service charge (if the check cannot be redeposit) pursuant to Minnesota Statutes § 332.50. In addition, you agree to pay any other reasonable charges imposed by any check verification company or collection agency that we may use for collection.
On orders billed to customers with open account credit, items not available for immediate shipment will be shipped and billed as they become available.
International Orders
In addition to the United States and its territories, Minntech Electronics Inc. accepts international orders. All orders of international origin are exported from the US in accordance with the Export Administration Regulations. Diversion contrary to US Law is prohibited. An additional handling charge described above in Handling charges will be included for processing and invoicing. All duties and taxes will be the responsibility of the customer.
Payment options for International customers: MasterCard, VISA, American Express, cashier's check in US funds. We cannot accept personal checks or certified personal checks. Money orders can result in significant delays. Use of Letters of Credit must be approved in advance by Minntech Electronics, Inc. Accounting Department.

Freight Damage / Shortages.
Freight Damage: If you receive merchandise that has been damaged in transit, it is important to keep the shipping carton, packing material and parts intact. Please contact a Minntech Electronics Inc. Customer Service representative immediately (and no later than 2 days after receipt of shipment) to initiate a claim. Shortages: Must be reported within 5 days after receipt of order either by FAX or by Telephone to our customer service department at above numbers. If shortages are not reported in this time frame any debit to your invoice will be disallowed and is due and payable as issued.
Return Policy
